SUPA HUB SPC (“SUPA HUB”, "SUPA", "S U P A", “we”, “us”, or “our”) is a segregated portfolio company incorporated in the Cayman Islands, with registration number 359688 and registered address at Harbour Centre 4/F, 42 North Church Street, George Town, KY1-1107, Cayman Islands. We provide digital asset registry and infrastructure services exclusively through partnerships with licensed financial institutions. We do not provide banking, advisory, or other financial services ourselves. Digital assets are not insured. SUPA HUB SPC acts as the official issuer and registrar of all documents generated through its platform. Each such document is executed using a qualified electronic signature with full legal effect, and its authenticity and integrity can be verified at any time at: https://app.supahub.co/veri.

Please read these Terms of Use (“Terms”) carefully before using our website, platform, or any other online or offline services we provide (collectively, the “Services”). By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must immediately cease using the Services.

We may resell certain services from third-party providers, including but not limited to SUPA RED LTD (a Category A Registrant under Hong Kong Cap. 615 (Anti-Money Laundering and Counter-Terrorist Financing Ordinance), registration number A-B-24-11-08324, address: 10/F YF Life Tower, Unit HD106, 33 Lockhart Rd, Wan Chai, Hong Kong; company registration/tax number: 76874833). We may also purchase services from other third-party suppliers, including financial service providers, and resell them to our clients. However, SUPA HUB SPC itself does not render any financial services.

1. About Us

SUPA HUB SPC is a technological platform that integrates various technologies and software under different licenses from multiple providers. We facilitate business registrations in the Cayman Islands and resell financial services such as account opening, payment processing, currency exchange, and operations with digital assets. All such services are provided exclusively through licensed third-party suppliers in relevant jurisdictions who maintain client bases and hold the necessary regulatory approvals. We do not directly provide these services or hold any licenses for financial activities ourselves.

2. Nature of the Services

The Services provide information about our platform and enable you to express interest in, or apply for, services offered through our partnerships with licensed providers. Nothing on the Services constitutes an offer, recommendation, advice, or solicitation by SUPA HUB SPC. We act solely as a facilitator, connecting users to third-party providers without assuming any responsibility for the underlying services.

3. Use of the Services

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Services by any third party.

You must not:
- attempt to gain unauthorised access to the Services or any related systems or networks;
- introduce viruses, malware or any other harmful code;
- use automated means (including robots, spiders or scrapers) to access or collect information from the Services without our prior written consent;
- copy, modify, distribute, reverse-engineer or create derivative works from any part of the Services except as expressly permitted.

We reserve the right to suspend or terminate your access to the Services at any time, without notice or liability, if we suspect a breach of these Terms or for any other reason.

4. Intellectual Property

All content on the Services, including text, graphics, logos, software and trademarks, is owned by or licensed to SUPA HUB SPC and is protected by copyright, trademark and other intellectual property laws under the laws of the Cayman Islands and applicable international conventions.

You may view, download and print pages for your personal, non-commercial use only, provided you keep intact all copyright and proprietary notices. Any other reproduction, distribution or commercial exploitation is strictly prohibited without our prior written consent. Breach of this provision may result in legal action, including claims for damages.

5. No Investment or Financial Advice

The information provided through the Services is for general informational purposes only and does not constitute financial, investment, tax, legal, or any other advice. It is not intended to be relied upon and should not be treated as a substitute for specific advice from a suitably qualified professional.

The Services may contain links to third-party websites or integrate services from providers. Such links and integrations are provided for convenience only. We have no control over, and accept no responsibility or liability for, the content, privacy policies, practices, or availability of any third-party sites or services. Your interactions with third parties are governed solely by their terms and policies.

7. Limitation of Liability

To the fullest extent permitted by the laws of the Cayman Islands, SUPA HUB SPC, its officers, directors, employees and agents exclude all liability (whether in contract, tort (including negligence), breach of statutory duty or otherwise) for any loss or damage, including indirect, consequential, special, or punitive loss, arising out of or in connection with your use of, or inability to use, the Services, even if we have been advised of the possibility of such loss.

The Services are provided on an “as is” and “as available” basis without any representation or warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We shall not be liable for any losses arising from services provided by our third-party suppliers or partners, including any financial services resold through our platform.

8. Disclaimers Specific to Resold Services

Any services, including business registrations, account openings, payment processing, currency exchanges, or digital asset operations, are supplied exclusively by our licensed third-party providers (not by SUPA HUB SPC). Such services are not obligations of, nor guaranteed by, SUPA HUB SPC. We accept no liability for their performance, security, or compliance. Users engage with these providers at their own risk and must review the providers' terms directly.

9. Changes to the Services and These Terms

We may modify, suspend or discontinue any part of the Services at any time without notice or liability.

We may amend these Terms from time to time at our sole discretion. The revised Terms will be posted on our website and will take effect immediately upon posting. Your continued use of the Services after any such changes constitutes your irrevocable acceptance of the new Terms.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or your use of the Services (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Cayman Islands. You irrevocably agree that the courts of the Cayman Islands shall have exclusive jurisdiction to settle any such dispute or claim.
